1. Validity: This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. After the expiration date, all rates and availability of the Robotics Engineer may be subject to revision.
2. Payment Terms: Payment is due within thirty (30) days of invoice date. A 25% deposit is required upon acceptance of this Quotation Estimate to secure the Robotics Engineer's schedule. Remaining balance is payable in two equal installments at the midpoint and completion of the project.
3. Scope Changes: Any modifications to the scope of work beyond what is outlined in this Quotation Estimate will require a written change order signed by both parties. Additional hours will be billed at the applicable hourly rate specified above.
4. Location: All on-site work will be conducted within the Canada Toronto metropolitan area. Travel beyond a 50-kilometre radius of downtown Toronto will be billed at $0.85/km plus applicable tolls and parking fees.
5. Confidentiality: The Robotics Engineer and Northgate Automation Solutions Inc. agree to maintain strict confidentiality regarding all proprietary information, trade secrets, and intellectual property encountered during the engagement in Canada Toronto.
6. Liability & Insurance: Northgate Automation Solutions Inc. carries professional liability insurance of $5,000,000 CAD. The client is responsible for site-specific safety compliance and worker's compensation coverage for the duration of on-site work.
7. Governing Law: This Quotation Estimate and any resulting contract shall be governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein.
8. Cancellation: Either party may cancel the engagement with fourteen (14) days written notice. In the event of client cancellation, all hours worked up to the cancellation date plus a 10% administrative fee shall be invoiced.
