- Payment terms: 30% advance upon signing the service agreement, 40% upon successful commissioning of the robotic systems in Egypt Alexandria, and 30% upon final acceptance and handover of all documentation.
- The Robotics Engineer shall adhere to all occupational health and safety regulations enforced by the Egyptian Ministry of Manpower and the Alexandria Governorate's industrial safety authority.
- All intellectual property generated during the course of this engagement, including proprietary control code and system designs, shall remain the exclusive property of the client upon full payment.
- Force majeure events, including but not limited to port closures at Alexandria Port, national holidays, or government-mandated shutdowns, shall extend the project timeline proportionally without penalty to either party.
- Any scope changes or additional services beyond the items listed in this Quotation Estimate shall be subject to a separate written amendment and additional cost approval.
- Disputes arising from this agreement shall be resolved through arbitration in accordance with the Egyptian Arbitration Law No. 27 of 1994, with the seat of arbitration in Egypt Alexandria.
