This Quotation Estimate is formally issued by NorthStar Automation & Robotics Solutions LLC in response to the written request from Polaris Industrial Manufacturing JSC for the recruitment, deployment, and ongoing technical support of a senior Robotics Engineer to be stationed at the client's production facility in Russia Saint Petersburg. The scope of this estimate encompasses the full lifecycle of the Robotics Engineer engagement, including initial onboarding, system design and integration, commissioning of automated production lines, and a twelve-month period of dedicated on-site technical support within the Russia Saint Petersburg metropolitan area.

The Robotics Engineer will be responsible for the design, programming, and maintenance of industrial robotic systems, including six-axis articulated robots, collaborative robots (cobots), and automated guided vehicles (AGVs) currently operating across the client's three production halls in Russia Saint Petersburg. All work will be conducted in compliance with Russian Federal Technical Regulations, GOST standards, and applicable occupational safety legislation of the Russian Federation.

This Quotation Estimate proposes the following milestone-based payment structure to be settled in Russian Rubles (RUB) via bank transfer to the account of NorthStar Automation & Robotics Solutions LLC:

This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. After 14 July 2025, all pricing is subject to revision based on current market conditions in Russia Saint Petersburg.
The Robotics Engineer assigned to this project shall be a full-time employee of NorthStar Automation & Robotics Solutions LLC and shall not be simultaneously engaged in any other client project without prior written consent from Polaris Industrial Manufacturing JSC.
All intellectual property, including but not limited to robot programs, PLC logic, SCADA configurations, and process documentation developed under this engagement, shall become the exclusive property of the client upon full payment.
NorthStar Automation & Robotics Solutions LLC shall maintain comprehensive professional liability insurance with a minimum coverage of 10,000,000 RUB for the duration of the project in Russia Saint Petersburg.
Any change in scope exceeding 10% of the total estimated value shall require a formal change order and a revised Quotation Estimate signed by both parties before additional work commences.
The Robotics Engineer shall comply with all applicable Russian labor laws, including but not limited to the Labor Code of the Russian Federation, and shall be subject to the client's on-site safety regulations at the Russia Saint Petersburg facility.
Warranty period for all installed robotic systems and integrated software is twelve (12) months from the date of final acceptance, covering defects in design, programming, and workmanship.
Disputes arising from this Quotation Estimate or the resulting contract shall be resolved through arbitration at the Arbitration Court of Saint Petersburg and Leningrad Oblast, Russian Federation.
All communications, technical documentation, and reports shall be prepared in Russian, with English translations provided for reference where requested by the client.

By signing below, both parties acknowledge that this Quotation Estimate accurately reflects the agreed-upon scope, pricing, and terms for the engagement of a Robotics Engineer and associated automation services at the client's facility in Russia Saint Petersburg. This document, once countersigned, shall serve as the basis for the execution of a formal Master Services Agreement.
