- This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. Any acceptance beyond this period requires written reconfirmation of pricing by Nile Robotics & Automation Solutions Ltd.
- All payments shall be made in United States Dollars (USD) via wire transfer to the designated bank account in Khartoum, Sudan. Late payments shall incur a penalty of 1.5% per month.
- The Robotics Engineer shall comply with all applicable Sudanese labor regulations, occupational health and safety standards, and local building codes in force in Sudan Khartoum at the time of execution.
- Intellectual property developed specifically for the client under this contract shall vest in the client upon full payment. General methodologies, proprietary algorithms, and pre-existing tools remain the property of the service provider.
- The warranty period for all installed robotic hardware is twelve (12) months from the date of final commissioning, subject to normal operating conditions and adherence to the maintenance schedule provided by the Robotics Engineer.
- Force majeure events, including but not limited to civil unrest, natural disasters, or government-imposed restrictions affecting operations in Sudan Khartoum, shall suspend contractual obligations without penalty to either party.
- Disputes arising from this agreement shall be resolved through arbitration in Khartoum, Sudan, in accordance with the rules of the Sudan Arbitration Centre.
- This Quotation Estimate does not constitute a binding contract until a formal service agreement is executed by both parties.
