Acceptance of this quotation constitutes a binding agreement between both parties, subject to the execution of a formal service contract in compliance with Colombian labor and commercial legislation. The School Counselor services shall commence no later than August 4, 2025, coinciding with the start of the second academic term at the institution in Colombia Bogotá.

1. This Quotation Estimate does not constitute a final contract but serves as a formal proposal for the engagement of School Counselor services. A definitive service agreement shall be drafted and executed prior to the commencement of services.
2. All student records, session notes, and case files generated by the School Counselor shall remain the exclusive property of the educational institution and shall be handled in strict accordance with Colombia’s Personal Data Protection Law (Ley 1581 de 2012) and the General Data Protection Regulation applicable in the Bogotá jurisdiction.
3. EduCare Professional Services S.A.S. reserves the right to substitute the assigned School Counselor in the event of prolonged illness, resignation, or other force majeure circumstances, provided that the replacement professional meets or exceeds the qualifications specified in Section 3 of this document.
4. Either party may terminate the engagement with a written notice of thirty (30) days. In such cases, a prorated refund of unused fees shall be calculated and processed within fifteen (15) business days.
5. All disputes arising from this Quotation Estimate or the subsequent service contract shall be resolved through mediation in the city of Bogotá, D.C., Colombia, in accordance with the applicable provisions of the Colombian Civil and Commercial Codes.
6. The School Counselor shall comply with all institutional policies, safety protocols, and regulatory requirements established by the Secretaría de Educación del Distrito Capital de Bogotá throughout the duration of the engagement.
