- Acceptance: This Quotation Estimate shall be deemed accepted upon written confirmation by the Client within the validity period stated above. Acceptance may be communicated via registered email to [email protected] or by signed return of this document.
- Payment Terms: The total amount of this Quotation Estimate shall be invoiced on a quarterly basis (30% of the annual total per quarter). Payment is due within 30 days of invoice receipt via bank transfer to the account specified on each invoice. Late payments shall incur a statutory interest rate as defined by Italian civil law (Codice Civile, Art. 1284).
- Service Commencement: The School Counselor services shall commence on 15 September 2025, coinciding with the start of the Italian academic year, and shall continue through 30 June 2026, subject to the standard Italian school calendar and any regional extensions declared by the Regione Lazio.

- Liability and Insurance: Educare Consulenza S.r.l. maintains professional liability insurance (RC Professionale) with a minimum coverage of € 1,000,000 per claim, as required for psychological services in Italy. The School Counselor shall be covered under this policy for the entire duration of the engagement.
- Governing Law and Jurisdiction: This Quotation Estimate and any resulting contract shall be governed by the laws of the Italian Republic. Any disputes arising from or in connection with this agreement shall be subject to the exclusive jurisdiction of the Tribunale di Roma.
- Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to public health emergencies, natural disasters, or government-mandated school closures as may occur in the Rome metropolitan area.
