All rates are fixed for the duration of the contract term specified in this Quotation Estimate. 3. Terms and Conditions

3.1 Validity: This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. After the expiration date, pricing may be subject to revision based on market conditions in Japan Osaka and changes in labor regulations.

3.2 Payment Terms: Payment shall be made in quarterly installments (25% per quarter) within thirty (30) days of invoice issuance. The first installment is due upon contract execution. Late payments shall incur a penalty of 1.5% per month as per Japan Osaka commercial practice.

3.3 Contract Duration: The engagement of School Counselor services shall commence on April 1, 2025, and conclude on March 31, 2026, aligning with the Japanese academic fiscal year. Renewal terms will be discussed no later than January 2026.

3.4 Cancellation Policy: Either party may terminate this agreement with sixty (60) days written notice. In the event of early termination by the client, a cancellation fee of 20% of the remaining contract value shall apply, as stipulated in this Quotation Estimate.

3.5 Confidentiality: All student records, counseling notes, and institutional data handled by the School Counselor team in Japan Osaka shall be treated with the strictest confidentiality in accordance with Japan's Act on the Protection of Personal Information (APPI) and MEXT data handling regulations.

3.6 Qualifications: All School Counselor personnel assigned under this Quotation Estimate shall hold a valid Japanese National Counselor qualification (Kokumin Kyōshi or equivalent), a minimum of five years of experience in educational settings, and current registration with the Japan Association for Counseling Psychology.

3.7 Governing Law: This Quotation Estimate and any resulting contract shall be governed by and interpreted in accordance with the laws of Japan, with jurisdiction vested in the Osaka District Court.

4. Acceptance and Authorization
