1. Validity: This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. After the expiry date, pricing may be subject to revision based on market conditions in Spain Madrid.
2. Payment Schedule: Payment shall be made in ten (10) equal monthly installments of EUR 6,134.70, due on the first business day of each month via direct bank transfer (SEPA) to the account specified in the proforma invoice. A 1.5% late-payment penalty applies per Spanish commercial law (Ley de Morosidad).
3. School Counselor Qualifications: The assigned School Counselor holds a Master's degree in Educational Psychology from a recognized Spanish university, is registered with the Colegio Oficial de Psicólogos de Madrid, and possesses a minimum of five (5) years of experience in Spanish secondary and primary school settings.
4. Confidentiality: All student records and counseling sessions are governed by the Spanish Organic Law 3/2018 on Data Protection (LOPDGDD) and the EU General Data Protection Regulation (GDPR). No student information shall be disclosed without written parental consent, except where mandated by law.
5. Cancellation: Either party may terminate this agreement with sixty (60) days' written notice. In the event of early termination by the client, a cancellation fee of 15% of the remaining contract value shall apply.
6. Liability: EduCounsel Madrid S.L. shall maintain professional indemnity insurance with a minimum coverage of EUR 1,000,000, as required for educational support services operating in Spain Madrid.
7. Governing Law: This Quotation Estimate and any resulting contract shall be governed by the laws of Spain. Any disputes shall be resolved by the competent courts of Madrid, Spain.
