5.3 Contract Duration: The School Counselor service agreement is for one (1) academic year (October 2025 through July 2026), with an option for renewal subject to mutual written consent at least sixty (60) days prior to expiration.

5.5 Cancellation: Either party may terminate the agreement with sixty (60) days written notice. In the event of early termination by the client, a pro-rated fee for the remaining notice period shall be due.
5.6 Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, government-mandated school closures, or public health emergencies affecting operations in Venezuela Caracas.
5.7 Governing Law: This Quotation Estimate and any resulting contract shall be governed by the laws of the Bolivarian Republic of Venezuela. Disputes shall be resolved through arbitration in Caracas.
