- This Quotation Estimate constitutes a formal proposal and does not constitute a binding contract until both parties execute a definitive service agreement.
- The Software Engineer will be hired under the CLT (Consolidação das Leis do Trabalho) regime, ensuring full compliance with Brazilian federal and São Paulo state labor laws, including FGTS, INSS contributions, and annual leave provisions.
- The engagement is based in São Paulo, Brazil. The Software Engineer will work primarily on-site at the client's offices in the Jardins district, with a maximum of two remote workdays per week as agreed upon in the contract.
- Intellectual property developed during the engagement shall belong exclusively to Meridian Digital Group S.A. upon full payment of the invoiced amounts.
- Either party may terminate the contract with 30 days' written notice. In case of early termination, a pro-rata fee for the remaining period will be charged.
- Confidentiality obligations as defined in the NDA (Non-Disclosure Agreement) signed on 01 June 2025 remain in effect for 24 months post-termination.
- Force majeure events, including but not limited to natural disasters affecting the São Paulo metropolitan region, shall suspend contractual obligations without penalty.
- All disputes arising from this Quotation Estimate or the subsequent contract shall be resolved under the jurisdiction of the courts of São Paulo, Brazil, in accordance with Brazilian law.
By signing below, the client acknowledges receipt of this Quotation Estimate and authorizes TechNova Solutions Ltda. to proceed with the onboarding of the Software Engineer as described herein. This acceptance does not waive any rights under the definitive service agreement to be executed within 15 business days.
