The Software Engineer assigned to this project will deliver the following professional services as outlined in this Quotation Estimate:

Payment for the services described in this Quotation Estimate shall be made in four installments as follows:
- 30% (CLP 16,886,100): Due upon signed acceptance of this Quotation Estimate and project kickoff.
- 30% (CLP 16,886,100): Due upon completion of the development phase and submission of the first release candidate.
- 25% (CLP 14,071,750): Due upon successful user acceptance testing (UAT) sign-off in Chile Santiago.
- 15% (CLP 8,443,050): Due upon final deployment, delivery of all documentation, and completion of the 90-day support period.
- This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. After this period, rates and availability of the designated Software Engineer are subject to re-evaluation.
- All intellectual property produced under this engagement shall transfer to the client upon full payment. TechNova Solutions SpA retains the right to reference the project in its portfolio with prior written consent.
- The Software Engineer shall comply with all applicable Chilean labor regulations, data protection laws (Ley 19.628), and tax obligations while performing services in Chile Santiago.
- Any scope changes exceeding 10% of the originally estimated hours will require a formal change order and a revised Quotation Estimate before additional work commences.
- Confidentiality: Both parties agree to maintain strict confidentiality of all proprietary information exchanged during the project, as governed by a separate Non-Disclosure Agreement (NDA) to be executed prior to project start.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government mandates, or infrastructure failures affecting the Chile Santiago metropolitan area.
- Governing Law: This Quotation Estimate and any resulting contract shall be governed by the laws of the Republic of Chile. Disputes shall be resolved through arbitration in Chile Santiago in accordance with the rules of the Cámara de Comercio de Santiago.
