Invoices will be issued monthly in arrears, with payment terms of thirty (30) days from the date of invoice issuance.

• Advance Payment (30%): $38,730 – Due upon signed acceptance of this Quotation Estimate and prior to the Software Engineer's arrival in Iraq Baghdad.
• Monthly Installments (70%): $7,034 per month – Due on the 5th business day of each subsequent month for the duration of the twelve-month engagement.

• This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. After the expiration date, all rates and terms are subject to revision without prior notice.
• The Software Engineer shall comply with all applicable laws and regulations of the Republic of Iraq, including but not limited to labor laws, tax obligations, and data protection statutes in force in Baghdad.
• Any change in scope, additional deliverables, or extension of the contract period beyond the initial twelve months will require a formal amendment to this Quotation Estimate, signed by both parties.
• The Software Engineer's intellectual property and all code produced during the engagement shall become the sole property of the client upon full payment of all outstanding invoices.
• TechBridge Solutions Ltd. reserves the right to replace the assigned Software Engineer with a qualified equivalent of equal or greater experience, subject to the client's written approval, in the event of unforeseen circumstances.
• Force majeure events, including but not limited to political instability, natural disasters, or government-imposed restrictions in Iraq Baghdad, shall exempt both parties from performance obligations for the duration of such events.
• All disputes arising from this Quotation Estimate shall be resolved through arbitration in accordance with the rules of the International Chamber of Commerce (ICC), with the seat of arbitration in Baghdad, Iraq.
