The Software Engineer will be responsible for the full software development lifecycle, including requirements analysis, system architecture design, coding, unit testing, code reviews, deployment, and ongoing maintenance of enterprise-grade applications. • Payment Terms: Invoices will be issued monthly in arrears. Payment is due within thirty (30) days of invoice date via bank transfer to the account specified on the invoice. Late payments will incur interest at the statutory Dutch rate.
• Commencement: The Software Engineer engagement will commence no earlier than five (5) business days following written acceptance of this Quotation Estimate and execution of the Master Service Agreement (MSA).
• Working Location: The Software Engineer will be based at the client's office in Netherlands Amsterdam. Any change of location within the Netherlands Amsterdam metropolitan area will not incur additional charges. Relocation to a different Dutch city will require a revised Quotation Estimate.
• Confidentiality: The Software Engineer will be bound by a strict Non-Disclosure Agreement (NDA) in compliance with the Dutch Data Protection Act (UAVG) and the EU General Data Protection Regulation (GDPR).
• Substitution: In the event the assigned Software Engineer is unavailable for more than five (5) consecutive business days, a replacement of equivalent or superior qualification will be provided at no additional cost. The client must approve any substitution in writing.
• Termination: Either party may terminate the engagement with thirty (30) days' written notice. In case of termination, the client will be invoiced for all services rendered up to the effective termination date.
• Intellectual Property: All code, documentation, and deliverables produced by the Software Engineer during the engagement shall become the exclusive property of the client upon full payment.
• Governing Law: This Quotation Estimate and any resulting contract shall be governed by and interpreted in accordance with the laws of the Netherlands. Disputes shall be resolved by the competent courts in Amsterdam, Netherlands.
• Force Majeure: Neither party shall be liable for delays or failures in performance resulting from circumstances beyond reasonable control, including but not limited to natural disasters, pandemics, or government-mandated closures affecting operations in Netherlands Amsterdam.
