The Software Engineer engaged under this Quotation Estimate will perform the following duties and responsibilities:

Payment for the Software Engineer services outlined in this Quotation Estimate shall be made on a monthly basis, in advance, via bank transfer to the designated account of Meridian Digital Solutions Ltd. in Turkey Istanbul. Invoices will be issued on the 25th of each month for the following calendar month. Late payments shall accrue interest at a rate of 1.5% per month, in accordance with Turkish commercial law. The client is required to settle all outstanding invoices within 15 business days of receipt.

5.1 Validity: This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. After this period, pricing may be revised to reflect changes in the Turkey Istanbul labor market, exchange rate fluctuations, or regulatory updates.

5.2 Confidentiality: The Software Engineer shall be bound by a Non-Disclosure Agreement (NDA) covering all proprietary information, source code, business strategies, and client data encountered during the engagement in Turkey Istanbul.

5.3 Intellectual Property: All work product, code, documentation, and deliverables created by the Software Engineer during the term of this engagement shall be the exclusive property of the client, as stipulated in the master service agreement.

5.4 Termination: Either party may terminate the engagement with a written notice of sixty (60) days. In the event of termination, the client shall be liable for all costs incurred up to the effective date of termination as detailed in this Quotation Estimate.

5.5 Governing Law: This Quotation Estimate and the resulting contract shall be governed by and construed in accordance with the laws of the Republic of Turkey. Any disputes shall be resolved through arbitration in Istanbul, Turkey, in accordance with the rules of the Istanbul Arbitration Center (ISTAC).

5.6 Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, government sanctions, or pandemics affecting operations in Turkey Istanbul.
