The Software Engineer will be physically based in Birmingham, United Kingdom, and will operate within the client's premises or a designated co-working facility in the city centre. In accordance with this Quotation Estimate, payment shall be made on a monthly basis in arrears. Invoices will be issued on the last working day of each calendar month and are payable within thirty (30) calendar days of the invoice date via BACS bank transfer to the account details provided on each invoice. A late payment interest charge of 4% above the Bank of England base rate will apply to any outstanding balances exceeding the agreed payment window, in line with the Late Payment of Commercial Debts (Interest) Act 1998 applicable in the United Kingdom.
5.1 Validity: This Quotation Estimate is valid for a period of thirty (30) days from the date of issue. Beyond this period, rates and availability of the Software Engineer may be subject to revision.
5.2 Location: All Software Engineer services under this Quotation Estimate shall be delivered from Birmingham, United Kingdom. Any requirement for travel outside the Birmingham metropolitan area (defined as a 25-mile radius from Birmingham city centre) will be billed at an additional rate of £0.65 per mile plus time at the standard day rate.
5.3 Intellectual Property: All code, documentation, and deliverables produced by the Software Engineer during the engagement shall become the exclusive property of the client upon full payment of the outstanding balance.
5.4 Confidentiality: Both parties agree to maintain strict confidentiality in accordance with the UK Data Protection Act 2018 and UK GDPR. A separate Non-Disclosure Agreement (NDA) will be executed prior to commencement of work.
5.5 Termination: Either party may terminate this engagement with thirty (30) days' written notice. In the event of early termination, the client shall be liable for all fees accrued up to the termination date plus a wind-down fee of £5,000.
5.6 Governing Law: This Quotation Estimate and any resulting contract shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of Birmingham, United Kingdom.
