This Quotation Estimate is issued by Meridian Digital Solutions, Inc. to Lakeshore Financial Technologies, LLC for the provision of a dedicated Software Engineer to be deployed at the client's office located in United States Chicago. The engagement is structured as a contract-to-hire arrangement with an initial term of twelve (12) months, commencing on or about August 1, 2025.

The Software Engineer will be responsible for the following duties and deliverables:

• Design, development, and maintenance of microservices-based financial transaction processing systems using Java, Spring Boot, and PostgreSQL.
• Collaboration with the in-house architecture team in United States Chicago to ensure compliance with FINRA and SEC regulatory reporting standards.
• Implementation of CI/CD pipelines, automated testing frameworks, and infrastructure-as-code solutions on AWS cloud infrastructure.
• Code review, technical mentorship of junior developers, and participation in agile sprint ceremonies (two-week sprints).
• Troubleshooting, performance tuning, and incident response for production systems operating in the Chicago metropolitan data center and AWS us-east-1 region.
• Documentation of system architecture, API specifications, and operational runbooks.

* All rates are quoted in United States Dollars. The Software Engineer will be based in the United States Chicago office and is expected to work Monday through Friday, 8:00 AM – 5:00 PM Central Time, with a 30-minute unpaid lunch break.

• Payment is due net 30 days from the date of invoice issuance.
• Invoices will be issued on the 1st business day of each calendar month for the preceding month's services.
• A 5% late fee will be applied to any invoice outstanding beyond 45 days from the due date.
• Payment may be made via ACH transfer to the bank account designated on each invoice, or by certified check mailed to our Chicago, IL office.
• The one-time onboarding and assessment fees (Line Items 2 and 3) are due upon execution of this Quotation Estimate and the resulting service agreement.

• This Quotation Estimate is valid for thirty (30) days from the date of issue. After the expiration date, rates and availability of the Software Engineer are subject to re-evaluation.
• The Software Engineer shall be considered a contractor of Meridian Digital Solutions, Inc. and not an employee of the client. All benefits, workers' compensation, and payroll taxes are the responsibility of Meridian Digital Solutions.
• Both parties agree to a mutual non-disclosure agreement (NDA) covering all proprietary information, source code, and business strategies encountered during the engagement in United States Chicago.
• Either party may terminate the engagement with thirty (30) days written notice. In the event of early termination, the client shall pay for all services rendered through the termination date.
• This agreement is governed by the laws of the State of Illinois, United States. Any disputes shall be resolved through binding arbitration in Cook County, United States Chicago, in accordance with the rules of the American Arbitration Association.
• Meridian Digital Solutions, Inc. shall maintain professional liability insurance with a minimum coverage of $2,000,000 per occurrence for the duration of this engagement.
• All intellectual property developed specifically for the client during the term of this engagement shall be the sole property of the client upon full payment of all invoices.

By signing below, both parties acknowledge that they have read, understood, and agree to the terms outlined in this Quotation Estimate for the Software Engineer services to be performed in United States Chicago.
