The Systems Engineer engaged under this Quotation Estimate will be responsible for the following activities, all to be performed on-site or remotely as directed by the client, with primary operations based in Brazil, Rio de Janeiro:

4.1 Payment shall be made in monthly installments via bank transfer (TED/PIX) to the account designated by TechBridge Solutions Ltda., with the first payment due within 15 business days of contract execution.
4.2 A mobilization fee equivalent to 15% of the total Quotation Estimate value shall be due upon signing of the master service agreement, prior to the commencement of any Systems Engineer activities in Brazil, Rio de Janeiro.
4.3 Late payments shall incur a penalty of 1% per month plus daily interest of 0.033%, in accordance with Brazilian commercial law (Código Civil, Art. 412).
4.4 All costs are quoted in Brazilian Reais (BRL). In the event of significant currency fluctuation exceeding 8% during the contract term, either party may request a mutual review of pricing.
5.1 This Quotation Estimate is valid for a period of thirty (30) calendar days from the date of issue. Beyond this period, all prices and availability of the Systems Engineer resource are subject to revision.
5.2 The Systems Engineer shall comply with all applicable Brazilian labor laws, data protection regulations (LGPD), and municipal ordinances in force in the city of Rio de Janeiro, State of Rio de Janeiro.
5.3 The client agrees to provide the Systems Engineer with reasonable access to all facilities, systems, documentation, and personnel necessary to perform the services described in this Quotation Estimate.
5.4 Intellectual property developed specifically for the client under this engagement shall be transferred to the client upon full payment. Pre-existing tools, methodologies, and frameworks remain the property of TechBridge Solutions Ltda.
5.5 Either party may terminate this agreement with thirty (30) days written notice. In the event of early termination, the client shall be liable for all services rendered up to the termination date plus a 10% administrative fee.
5.6 Disputes arising from this Quotation Estimate or the resulting contract shall be resolved through arbitration in the city of Rio de Janeiro, Brazil, in accordance with the rules of the CAM-CCBC (Câmara de Arbitragem do Centro de Conciliação e Arbitragem da Câmara de Comércio, Indústria e Serviços do Estado do Rio de Janeiro).
