4.1 Validity: This Quotation Estimate is valid for a period of 45 calendar days from the date of issue. After this period, pricing for the Systems Engineer services and hardware components may be revised to reflect market conditions in China Beijing.
4.2 Payment Terms: 30% advance payment upon contract execution; 40% upon completion of the network architecture and cloud migration milestones; 30% upon final acceptance and sign-off of all deliverables in China Beijing.
4.3 Currency & Tax: All amounts are quoted in Chinese Yuan (CNY). VAT at 13% is included as per the tax regulations applicable to service providers operating in China Beijing. The client is responsible for any withholding tax obligations.
4.4 Intellectual Property: All documentation, architecture designs, and configurations produced by the Systems Engineer team during the engagement shall become the property of the client upon full payment. Meridian Technical Solutions retains the right to use anonymized methodologies for future projects.
4.5 Confidentiality: Both parties agree to maintain strict confidentiality of all proprietary information exchanged during the engagement, in accordance with the Data Security Law of the People's Republic of China and the Personal Information Protection Law applicable in China Beijing.
4.6 Service Level Agreement: The Systems Engineer team guarantees a 99.5% system uptime for managed infrastructure. Critical incidents (Severity 1) will be acknowledged within 15 minutes and resolved or mitigated within 4 hours. Monthly SLA reports will be submitted to the client's Beijing operations team.
4.7 Termination: Either party may terminate the engagement with 60 days' written notice. In the event of early termination, the client shall pay for all services rendered and non-cancellable commitments up to the termination date.
4.8 Dispute Resolution: Any disputes arising from this Quotation Estimate or the resulting contract shall be resolved through arbitration in Beijing, China, in accordance with the rules of the China International Economic and Trade Arbitration Commission (CIETAC).
Note: This Quotation Estimate is a non-binding preliminary cost assessment. A formal Service Level Agreement (SLA) and Master Services Agreement (MSA) will be executed prior to the commencement of the Systems Engineer engagement in China Beijing. All hardware pricing is subject to availability and may vary by up to 5% depending on supplier lead times within the Beijing market.By signing below, the client acknowledges receipt of this Quotation Estimate and authorizes Meridian Technical Solutions Ltd. to proceed with the Systems Engineer engagement as described herein, to be delivered at the client's premises in China Beijing.
