4. Payment Terms
As per this Quotation Estimate, payment shall be structured as follows: 30% advance upon contract signing, 40% upon successful completion of the initial infrastructure setup and migration phase, and the remaining 30% in equal monthly installments over the subsequent eight months. All payments are to be made via NEFT/RTGS to the designated bank account of InfraTech Solutions Pvt. Ltd., India Mumbai. Invoices will be raised on the 1st of each month for the preceding month's services.
5. Terms & Conditions
- This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. Beyond this period, pricing may be revised to reflect market conditions in the India Mumbai IT services sector.
- The Systems Engineer shall be bound by a strict Non-Disclosure Agreement (NDA) and Intellectual Property (IP) assignment clause, ensuring all work product belongs to the client.
- InfraTech Solutions Pvt. Ltd. reserves the right to substitute the assigned Systems Engineer with a professional of equal or higher qualification, subject to client approval, in the event of unforeseen circumstances.
- Any scope changes or additional services beyond the defined Quotation Estimate will be documented in a separate Change Order and require written client approval before execution.
- The engagement is governed by the laws of India, and any disputes shall be subject to the exclusive jurisdiction of the competent courts in India Mumbai.
- Force majeure events, including but not limited to natural disasters, government-mandated lockdowns, or infrastructure outages affecting the India Mumbai region, shall be handled as per standard contractual provisions.
- Confidentiality obligations survive the termination of this engagement for a period of three (3) years.
