The Systems Engineer engaged under this Quotation Estimate shall be responsible for the following duties and deliverables while deployed in Iraq Baghdad:

• Administration and optimization of server clusters, including Windows Server 2022, Linux (RHEL 9), and virtualization platforms (VMware vSphere 8).

• Integration of IoT sensor networks for the Baghdad Smart City traffic management and utility monitoring subsystems.

Payment for the services described in this Quotation Estimate shall be made in accordance with the following schedule, invoiced monthly in US Dollars to the account designated by the Al-Rafidain Infrastructure Development Authority:

• Advance Payment (30%): USD 63,000.00 – due within 15 business days of contract signature and receipt of the signed Quotation Estimate.
• Monthly Progress Payments (55%): USD 11,550.00 per month – invoiced on the 25th of each month, payable within 30 days of invoice date.
• Final Retention (15%): USD 31,500.00 – released 60 days after successful project handover and final acceptance by the Authority.

1. This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. After the expiry date, all prices and terms are subject to revision without prior notice.
2. The Systems Engineer shall comply with all Iraqi federal and Baghdad municipal laws, regulations, and security directives applicable to foreign technical personnel operating in Iraq Baghdad.
3. Meridian Technical Solutions Ltd. shall bear full responsibility for the professional competence, conduct, and legal status of the Systems Engineer during the contract period.
4. Any change in scope, duration, or site location within Iraq Baghdad must be documented in a formal Change Order signed by both parties before implementation.
5. Confidentiality: All data, system architectures, and operational information encountered by the Systems Engineer in Iraq Baghdad shall be treated as strictly confidential and shall not be disclosed to any third party without written authorization from the Authority.
6. Force Majeure: Neither party shall be liable for delays or non-performance resulting from events beyond reasonable control, including but not limited to armed conflict, government sanctions, natural disasters, or civil unrest affecting Iraq Baghdad.
7. Dispute Resolution: Any dispute arising from this Quotation Estimate or the resulting contract shall be resolved through amicable negotiation. Failing resolution within 30 days, the matter shall be referred to arbitration under the rules of the Iraqi Chamber of Commerce, seated in Baghdad.
8. This Quotation Estimate does not constitute a binding contract until countersigned by both parties and the advance payment has been received in full.
