Payment shall be structured as follows: 30% upon signature of this Quotation Estimate and execution of the master service agreement; 40% upon completion of Milestone M3 (Implementation & Migration); and the remaining 30% upon successful closure of the 90-day support window. All invoices are payable within 30 days of receipt via bank transfer to the account of TechConsult Solutions S.r.l., IBAN IT60 X054 2811 1010 0000 0123 456, BIC BLOPIT22. Late payments shall accrue interest at the rate prescribed by Italian Legislative Decree 231/2002.
- This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. Beyond this period, rates and availability of the Systems Engineer are subject to re-evaluation.
- The Systems Engineer will operate from the client's premises in Italy Milan during core business hours (09:00–18:00 CET), with availability for critical incidents on a 24/7 on-call basis during the support window.
- All intellectual property produced during the engagement, including architecture diagrams, configuration scripts, and documentation, shall become the exclusive property of the client upon full payment.
- Confidentiality obligations are governed by a separate Non-Disclosure Agreement (NDA) to be executed prior to commencement of work.
- Any scope changes exceeding 10% of the originally estimated hours will require a formal change order and a revised Quotation Estimate signed by both parties.
- This engagement is governed by the laws of the Italian Republic. Any disputes shall be resolved by the competent courts of Milan, Italy.
