1. Purpose of This Quotation Estimate

This Quotation Estimate is formally issued by TechSolutions Italia S.r.l. to FinServ Group S.p.A. in relation to the provision of dedicated Systems Engineer services to be delivered at the client's operational premises located in Italy Rome. This document outlines the full scope of work, associated costs, payment schedule, and contractual terms governing the engagement. The Quotation Estimate is prepared in accordance with Italian commercial regulations and applicable European Union service directives.

2. Scope of Work – Systems Engineer Services in Italy Rome

The Systems Engineer assigned under this Quotation Estimate shall perform the following duties at the client's facility in Italy Rome:

Design, implementation, and maintenance of enterprise server infrastructure (Windows Server 2022, Linux RHEL 9) hosted on-site in Italy Rome.
Configuration and management of virtualization platforms (VMware vSphere 8, Microsoft Hyper-V) supporting 200+ virtual machines.
Network architecture oversight including firewall management (Palo Alto, Fortinet), VLAN segmentation, and load-balancing services.
Proactive monitoring, troubleshooting, and resolution of hardware and software incidents affecting business-critical systems.
Disaster recovery planning, backup strategy execution (Veeam, Commvault), and periodic failover testing.
Security patch management, vulnerability assessments, and compliance auditing aligned with GDPR and Italian data protection regulations.
Capacity planning, performance tuning, and quarterly infrastructure review reports submitted to the client's IT Director in Italy Rome.
Coordination with third-party vendors for hardware procurement, warranty claims, and firmware upgrades.
Documentation of all system changes, standard operating procedures, and as-built network diagrams maintained in the client's knowledge base.

4. Payment Terms

Payment for this Quotation Estimate shall be made via bank transfer (bonifico bancario) to the account of TechSolutions Italia S.r.l. as detailed on each monthly invoice. Invoices are issued on the last business day of each calendar month. Payment is due within 30 days of invoice date in accordance with Italian commercial law (Codice Civile, Art. 1181). A late-payment interest of 1.5% per month shall apply to overdue balances.

An initial mobilization fee of 10% of the total contract value (EUR 23,838.80) is due upon signature of the service agreement and prior to the commencement of Systems Engineer deployment in Italy Rome.

5. Terms & Conditions

5.1 This Quotation Estimate is valid for 30 calendar days from the date of issue. Beyond this period, pricing may be revised to reflect market conditions, exchange rate fluctuations, or changes in applicable Italian tax legislation.

5.2 The Systems Engineer personnel assigned under this engagement are employees of TechSolutions Italia S.r.l. and shall operate under the client's site policies while in Italy Rome. The client shall provide a dedicated workstation, secure network access, and reasonable working conditions.

5.3 All intellectual property, documentation, and system configurations produced during the engagement shall become the property of the client upon full payment.

5.4 Either party may terminate this agreement with 60 days' written notice. In the event of early termination, a pro-rata charge for services rendered up to the termination date shall apply.

5.5 This Quotation Estimate does not constitute a binding contract until both parties have executed the definitive Service Level Agreement (SLA) document.

5.6 All disputes arising from this engagement shall be resolved under the jurisdiction of the competent courts of Rome, Italy, in accordance with Italian law.

6. Service Level Commitments

The Systems Engineer team committed under this Quotation Estimate guarantees the following SLA metrics for all operations conducted in Italy Rome:

Critical incident response: within 30 minutes (24/7)
High-priority incident resolution: within 4 business hours
Medium-priority incident resolution: within 24 business hours
System uptime guarantee: 99.7% monthly availability
Monthly performance report delivery: by the 5th business day of the following month
