Payment for this Quotation Estimate shall be made in accordance with the following milestone-based schedule. All payments are due within 20 business days of invoice receipt. Invoices will be issued in New Zealand Dollars (NZD) and are subject to 15% Goods and Services Tax (GST) as per New Zealand tax legislation.

4.1 Validity: This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. Should the client wish to proceed after the expiry date, Meridian Technical Solutions Ltd reserves the right to revise the pricing to reflect current market rates for Systems Engineer services in New Zealand Wellington.
4.2 Engagement Terms: The Systems Engineer will be engaged on a full-time basis (40 hours per week, Monday to Friday) for a total duration of twenty-one (21) weeks, commencing on a date mutually agreed upon by both parties. The Systems Engineer will work primarily from the client's Wellington Central office with remote work permitted for up to two days per week.
4.3 Intellectual Property: All work product, documentation, code, and designs created by the Systems Engineer under this engagement shall be the sole property of the Wellington Regional Infrastructure Authority upon full payment. Meridian Technical Solutions Ltd retains no rights to proprietary solutions developed specifically for this project.
4.4 Confidentiality: The Systems Engineer and all personnel of Meridian Technical Solutions Ltd shall adhere to strict confidentiality obligations in accordance with the New Zealand Privacy Act 2020 and the Government Information (Public Access) Act 2014. A Non-Disclosure Agreement (NDA) will be executed prior to commencement.
4.5 Insurance: Meridian Technical Solutions Ltd maintains Professional Indemnity Insurance of no less than NZD $5,000,000 and Public Liability Insurance of no less than NZD $10,000,000, both valid throughout the duration of this engagement in New Zealand Wellington.
4.6 Termination: Either party may terminate this engagement with fourteen (14) days written notice. In the event of early termination, the client shall be liable for all work completed up to the termination date, plus a termination fee of 10% of the remaining contract value.
4.7 Dispute Resolution: Any disputes arising from this Quotation Estimate or the resulting contract shall be resolved through mediation in Wellington, New Zealand, in accordance with the Mediation Act 2010. If mediation fails, disputes shall be referred to the District Court of Wellington.
4.8 Governing Law: This Quotation Estimate and any resulting contract shall be governed by and construed in accordance with the laws of New Zealand.
By signing below, the client acknowledges and accepts this Quotation Estimate for the engagement of a Systems Engineer in New Zealand Wellington. This acceptance constitutes a binding agreement between Meridian Technical Solutions Ltd and the Wellington Regional Infrastructure Authority, subject to the terms and conditions outlined herein.
