4.1 Validity: This Quotation Estimate remains valid for thirty (30) calendar days from the date of issue. Beyond this period, pricing for Systems Engineer services in Senegal Dakar may be subject to revision based on market conditions, exchange rate fluctuations (XOF/USD), and availability of qualified engineering personnel.
4.2 Payment Terms: A non-refundable deposit of 30% of the total Quotation Estimate value is due upon acceptance. The remaining 70% shall be invoiced in three equal monthly installments aligned with project milestones. All payments shall be made in US Dollars via international wire transfer to the account designated by TechBridge Solutions Ltd.
4.3 Work Location: All on-site Systems Engineer activities under this Quotation Estimate shall be conducted at the client's premises in Dakar, Senegal, as well as at approved satellite locations within the Dakar metropolitan area. The client shall provide secure workspace, internet connectivity, and necessary access credentials for all Systems Engineer personnel.
4.4 Regulatory Compliance: The Systems Engineer team shall comply with all applicable laws and regulations of the Republic of Senegal, including data protection provisions under the Senegalese Law No. 2008-12 on Personal Data Protection, as well as telecommunications regulations issued by the ARTP in Dakar.
4.5 Intellectual Property: All system designs, configurations, documentation, and code produced by the Systems Engineer team under this Quotation Estimate shall become the exclusive property of the client upon full payment. TechBridge Solutions Ltd. retains the right to reference the project in portfolio materials with prior written consent.
4.6 Force Majeure: Neither party shall be liable for delays or non-performance resulting from events beyond reasonable control, including but not limited to natural disasters, civil unrest, government-imposed restrictions in Senegal Dakar, or pandemics that disrupt the ability of the Systems Engineer team to perform on-site duties.
4.7 Dispute Resolution: Any disputes arising from this Quotation Estimate shall first be addressed through good-faith negotiation. If unresolved within thirty days, the matter shall be submitted to arbitration in Dakar, Senegal, in accordance with the rules of the OHADA arbitration framework.
Note: This Quotation Estimate does not constitute a binding contract until formally accepted in writing by both parties.
