1. SCOPE OF WORK

The Systems Engineer engaged under this Quotation Estimate shall be responsible for the following deliverables at the Meridian Industrial Group facility in Turkey Istanbul:

1. This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. Any acceptance beyond this period requires written reconfirmation from Technosys Engineering Solutions Ltd.
2. Payment terms: 40% advance upon signed acceptance of this Quotation Estimate; 35% upon completion of on-site implementation in Turkey Istanbul; 25% upon successful 30-day post-deployment verification. The 12-month support retainer shall be invoiced quarterly in advance.
3. All payments shall be made in US Dollars via wire transfer to the designated bank account in Turkey Istanbul. The client is responsible for any intermediary banking fees.
4. The Systems Engineer assigned to this project shall be a certified professional (CCIE, VCP-DCV, or equivalent) with a minimum of ten (10) years of experience in enterprise infrastructure. The client reserves the right to request a CV and references prior to contract execution.
5. Intellectual property: All custom configurations, scripts, and documentation produced specifically for the Turkey Istanbul site shall become the property of Meridian Industrial Group A.Ş. upon full payment. Pre-existing tools and methodologies remain the property of Technosys.
6. Confidentiality: Both parties agree to maintain strict confidentiality regarding all technical, commercial, and operational information exchanged in connection with this Quotation Estimate and any subsequent contract.
7. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government sanctions, or civil unrest affecting operations in Turkey Istanbul.
8. Governing Law: This Quotation Estimate and any resulting contract shall be governed by and construed in accordance with the laws of the Republic of Turkey. Disputes shall be resolved by arbitration in Istanbul under the rules of the Istanbul Arbitration Centre (ISTAC).
