5.1 Validity: This Quotation Estimate is valid for a period of ninety (90) calendar days from the date of issue. Beyond this period, prices may be revised to reflect changes in exchange rates, equipment availability, or regulatory conditions in DR Congo Kinshasa.
5.2 Payment Terms: All payments shall be made via international wire transfer to the designated bank account in Kinshasa, DR Congo. Late payments shall incur a penalty of 1.5% per month on the outstanding balance.
5.3 Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to civil unrest, natural disasters, government sanctions, or supply chain disruptions affecting the DR Congo Kinshasa region.
5.4 Intellectual Property: All engineering designs, network topologies, and configuration documents produced by the Telecommunication Engineer team remain the property of CongoTel Engineering Solutions SARL unless otherwise agreed in writing.
5.5 Regulatory Compliance: The Telecommunication Engineer team shall ensure full compliance with all applicable regulations of the ARCP and the Ministry of Telecommunications of the Democratic Republic of the Congo. The client is responsible for obtaining any end-user licenses required for network operation.
5.6 Dispute Resolution: Any disputes arising from this Quotation Estimate or the resulting contract shall be resolved through arbitration in Kinshasa, DR Congo, in accordance with the rules of the OHADA arbitration center.
5.7 Insurance: The contractor shall maintain comprehensive liability insurance and workers' compensation coverage for all personnel operating in DR Congo Kinshasa throughout the project duration.
