In accordance with standard academic billing practices in Canada Toronto, the total amount specified in this Quotation Estimate shall be disbursed in four (4) equal quarterly installments. The first installment of $14,495.08 (inclusive of HST) shall be due within fifteen (15) business days of the formal acceptance of this Quotation Estimate. Subsequent installments shall be due on December 15, 2025, March 15, 2026, and June 15, 2026, respectively. Late payments shall incur a penalty of 1.5% per month on the outstanding balance, consistent with the Ontario Business Corporations Act provisions applicable to service agreements in Canada Toronto.
- Validity: This Quotation Estimate shall remain valid for a period of thirty (30) calendar days from the date of issue. Beyond this period, all rates and terms are subject to revision based on prevailing academic labour market conditions in Canada Toronto.
- Acceptance: Formal acceptance of this Quotation Estimate must be communicated in writing via signed letter or electronic acknowledgment to the undersigned consultant. Verbal acceptance shall not constitute a binding agreement.
- Scope Changes: Any modification to the scope of University Lecturer services outlined herein, including additional courses, increased supervision loads, or extended research obligations, shall require a written amendment to this Quotation Estimate and a corresponding adjustment to the total financial commitment.
- Confidentiality: The University Lecturer shall adhere to all institutional confidentiality policies, including but not limited to the protection of student records under the Personal Information Protection and Electronic Documents Act (PIPEDA) and the Ontario Freedom of Information and Protection of Privacy Act (FIPPA).
- Termination: Either party may terminate the engagement with sixty (60) days' written notice. In the event of early termination, a pro-rated settlement of the Quotation Estimate amount shall be calculated based on services rendered up to the termination date.
- Governing Law: This Quotation Estimate and the resulting service agreement shall be governed by and interpreted in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable in Canada Toronto.
- Dispute Resolution: Any disputes arising from this Quotation Estimate shall first be addressed through good-faith negotiation. Should resolution not be achieved within thirty (30) days, the matter shall be submitted to mediation under the Ontario Arbitration Act before any formal litigation is pursued.
