The UX UI Designer assigned to this project will operate out of our Munich office and will be available for on-site collaboration at the client's premises in the Munich metropolitan area. All pricing in this Quotation Estimate reflects the prevailing market rates for specialized design talent in Germany Munich, inclusive of applicable social security contributions and statutory employer obligations under German labor law.

The total estimated duration for this engagement is 15 working weeks (approximately 3.5 calendar months), commencing on the date of contract signature. The UX UI Designer will be embedded in the client's agile development cycle, attending daily stand-ups and bi-weekly sprint reviews. All milestones are subject to client approval gates, and any scope changes will be documented via a formal change order to this Quotation Estimate.

1. Validity: This Quotation Estimate is valid for 30 calendar days from the date of issue. After expiry, rates may be adjusted to reflect current market conditions in Germany Munich.
2. Payment Terms: 30% advance payment upon contract signing; 40% upon completion of the UI Design phase (Milestone 3); 30% upon final delivery and acceptance. Invoices are payable within 14 days of receipt per § 286 BGB.
3. Intellectual Property: Upon full payment, all design deliverables, source files, and documentation become the exclusive property of the client. The UX UI Designer retains the right to display completed work in a professional portfolio, subject to a 90-day embargo period.
4. Confidentiality: Both parties agree to maintain strict confidentiality in accordance with the German Federal Data Protection Act (BDSG) and the EU General Data Protection Regulation (GDPR). A separate NDA may be executed prior to project commencement.
5. Revisions: The Quotation Estimate includes two (2) full revision cycles per design phase. Additional revisions will be billed at the daily rate specified in Section 2.
6. Termination: Either party may terminate the agreement with 14 days' written notice. In the event of early termination, all work completed to date shall be invoiced and paid in full.
7. Governing Law: This Quotation Estimate and any resulting contract shall be governed by the laws of the Federal Republic of Germany. The exclusive place of jurisdiction is Munich, Bavaria.
8. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, pandemics, or government-mandated closures in Germany Munich.
