- Validity: This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. After the expiration date, rates and availability of the UX UI Designer may be subject to revision.
- Payment Schedule: 30% advance payment upon contract signing, 40% upon completion of the UI Design and Visual Design System phase, and 30% upon final delivery and acceptance of all deliverables. All payments to be made in Japanese Yen (JPY) via bank transfer to the account designated by Kuroda Design Studio Co., Ltd., Japan Osaka.
- Working Hours: The UX UI Designer will operate on standard Japanese business hours (09:00–18:00 JST, Monday through Friday) with a 60-minute lunch break. Overtime work, if required, will be billed at 1.5x the daily rate and must be pre-approved in writing by the client.
- Revisions: Each phase includes up to three (3) rounds of revisions. Additional revision cycles beyond the included amount will be charged at 50,000 JPY per round per deliverable.
- Intellectual Property: Upon full payment, all design assets, source files, and documentation created by the UX UI Designer shall become the exclusive property of the client. The designer retains the right to display completed work in a professional portfolio, subject to a 90-day embargo period agreed upon by both parties.
- Confidentiality: The UX UI Designer is bound by a mutual Non-Disclosure Agreement (NDA) covering all proprietary information, user data, and business strategies encountered during the engagement in Japan Osaka.
- Termination: Either party may terminate the engagement with fourteen (14) days written notice. In such cases, the client shall pay for all work completed up to the termination date as reflected in this Quotation Estimate.
- Governing Law: This agreement shall be governed by and construed in accordance with the laws of Japan. Any disputes shall be resolved through arbitration in Japan Osaka under the rules of the Japan Commercial Arbitration Association.
