1. Purpose and Scope of This Quotation Estimate

This Quotation Estimate is issued by Osaka Precision Welding & Fabrication Co., Ltd. in response to the formal request submitted by Osaka Industrial Machinery Corp. for the engagement of a certified Welder to perform structural and precision welding operations at the client's manufacturing facility located in Japan Osaka, specifically at the Umeda industrial complex in Kita-ku. 3. Project Timeline and Delivery Schedule

The Welder engagement under this Quotation Estimate is scheduled to commence on July 1, 2025, and is projected to be completed by August 29, 2025, totaling approximately 45 working days at the Japan Osaka site. The welding operations will be conducted in two phases: Phase 1 (structural frame assembly and primary welds, weeks 1–4) and Phase 2 (precision finishing welds, NDT, and final inspection, weeks 5–7). All work will be performed in strict compliance with the Osaka Prefecture Industrial Safety regulations and the client's internal site safety protocols.

4. Terms and Conditions of This Quotation Estimate
  • Validity: This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. Should the client wish to proceed after the expiration date, a revised Quotation Estimate reflecting current labor and material market rates in Japan Osaka will be required.
  • Payment Terms: 30% advance payment upon acceptance of this Quotation Estimate, 40% upon completion of Phase 1, and the remaining 30% upon final acceptance and delivery of the completed weld inspection report. All payments shall be made in Japanese Yen (JPY) via bank transfer to the account specified in the attached payment schedule.
  • Welder Availability: The assigned Welder is dedicated exclusively to the client's project for the duration of the contract. In the event of unforeseen illness or emergency, a substitute Welder of equivalent or superior qualification will be provided within 48 hours at no additional cost.
  • Change Orders: Any modification to the scope of welding work, additional joint quantities, or extended project duration must be documented in a written Change Order signed by both parties. Adjusted costs will be calculated based on the unit rates specified in this Quotation Estimate.
  • Warranty: All welds performed by the Welder under this engagement carry a twelve-month defect warranty from the date of final acceptance. Any weld failure attributable to workmanship within this period will be repaired at no charge.
  • Confidentiality: The Welder and all supporting personnel shall sign a Non-Disclosure Agreement (NDA) prior to commencing work at the Japan Osaka facility. All technical drawings, specifications, and proprietary information remain the exclusive property of the client.
  • Governing Law: This Quotation Estimate and any resulting contract shall be governed by and interpreted in accordance with the laws of Japan. Any disputes shall be resolved through arbitration at the Osaka International Arbitration Center.
  • Insurance: The Welder is covered under our comprehensive liability insurance policy (Policy No. INS-2025-08841) with a coverage limit of 500,000,000 JPY, valid throughout the Japan Osaka metropolitan area.
5. Acceptance and Authorization

By signing below, the client acknowledges and accepts all terms, conditions, and pricing outlined in this Quotation Estimate for the engagement of the Welder at the designated Japan Osaka facility. This signature constitutes a binding agreement to proceed with the project as described herein.
